GENERAL TERMS OF SALE, SWEDEN

These terms of sale (“Terms”) apply between you/company or signatory/legal entity and SVEDIA TOOLS (hereinafter “SVEDIA TOOLS” or “we”)

When making a purchase, the customer must be able to identify themselves and provide a customer number. We reserve the right to refuse a person to trade unless the person can demonstrate that they are authorized to represent the customer. The customer is liable for payment for purchases made by referring to a customer number.

The customer must always inform if a new person becomes authorized to make purchases or if a person is no longer authorized to represent the customer.

SVEDIA TOOLS reserves the right to set and change credit limits.

1. PRICE AND PAYMENT
1:1 Prices apply according to the customer's current price list, prices per order date apply.

1:2 Payment terms apply according to invoice, unless otherwise stated 30 days from the invoice date, for contract customers there is a monthly or 14-day invoicing period.

1.3 Bank transfer of amounts to our bank giro/account with advance payment against pro forma invoice may be applicable.

1:4 For non-contract customers and private customers with orders under 500 SEK, we expect Swish payment or bank transfer in advance or an invoice against an invoice fee of 150 SEK.

1:5 All prices are stated excluding value added tax and, where applicable, any other public levies.

1:6 Environmental fees and similar charges may apply.

1:7 Invoices are sent by post or as PDF invoices via email, as agreed. Invoices may be submitted to third parties for payment and monitoring.

2. SHIPPING TERMS
2:1 The shipping fee depends on the selected delivery method and the content of the order and is reported at checkout before the order is confirmed.

2:2 The shipping fee is charged per order.
For orders under SEK 5,000 net, a shipping cost of SEK 160 will be added, orders exceeding SEK 5,000 net are free of shipping within Sweden.
For contract customers, please refer to the terms and conditions entered into.

2:3 For trade within Europe, delivery agreements entered into with the respective customer from central warehouses apply

2:4 In the case of deliveries where the load carrier is a EUR pallet, SVEDIA TOOLS has the right to charge the cost of the EUR pallet according to the price list in force at any time. The customer must take care of the packaging and packaging themselves. These shall not be returned.

2:5 If an item has a longer delivery time, the delivery will be divided so that available items are delivered immediately. This does not incur any additional shipping charges.

2:6 Deviations in the terms and conditions may occur for customers with customer-specific shipping conditions or in individual locations with extended delivery times.

2:7 When delivering against your own freight contract, the customer must book with the respective freight company/service, and the shipment thus becomes the customer's full responsibility.

2:8 The following delivery methods are available:

Pick-up of goods from our factory/part warehouse, Sweden

  • Goods can be collected free of charge from our sub-warehouse in Halmstad, after confirmation, opening hours Monday-Thursday 06:00-16:30, Friday 06:00-14:00 - not closed for lunch.

Delivery/ Weekly delivery, Sweden

  • Orders can be placed until 3:00 PM the day before delivery, online shopping open 24-7.

  • Goods that are in SVEDIA TOOLS's partial warehouse when the order is placed are delivered as a combined delivery before 4:00 PM on the agreed weekly delivery day.

Goods that have extra lead time, are temporarily out of stock or are made-to-order goods are delivered on the following agreed weekly delivery day, after the goods have arrived at the sub-warehouse/central warehouse, or as agreed.

  • Orders can be placed from 7:00 AM to 9:00 PM Monday through Friday and Saturday 3:00 PM for same-day cancellation. Online shopping open 24-7.

    Express delivery "next day", partial stock Sweden

    • Orders can be placed until 6:00 PM each working day, goods that are in SVEDIA TOOLS's partial warehouse when the order is placed will be delivered before 4:00 PM the next working day.

    • Goods that have extra lead time, are temporarily out of stock or are made-to-order goods are delivered with a one-working day delay from the time they arrive at the central warehouse/sub-warehouse. A surcharge applies for express deliveries "next day".

    • Goods ordered from central warehouses have a last order deadline of 4:00 PM Monday-Friday and 3:00 PM Saturdays.


    3. RETURNS AND COMPLAINTS
    3:1 Returns and exchanges of goods

    Returns refer to when a customer wants to return goods that the customer does not need for some reason. The return can be made either for credit or through an exchange if the customer wants to return a certain item in exchange for another item from SVEDIA TOOLS.

    Return of goods must be preceded by approval from SVEDIA TOOLS. If all of the criteria below are met, SVEDIA TOOLS will accept a return or exchange of an item:

    3:1A The return amount must exceed SEK 300.
    3:1B The product shall be stocked by SVEDIA TOOLS in the regular range
    at the time of return.
    3:1C Customer-specific and purchased goods are therefore not covered by the right of return.
    3:1D No more than 8 days have passed since delivery/purchase.
    3:1E When exchanging for another product, it must instead be done within 30 days from delivery/time of purchase.

    3:1F The customer must be able to present SVEDIA TOOLS' delivery note or invoice number when returning.
    3:1G The returned item must be unused, in original packaging and in the same condition as at the time of sale.

    3:1H The product must not be a chemical product or a food product and must not have passed its expiration date for any other reason. Exception for chemical products or food products purchased in a store where returns are possible.

    3:1J The customer is responsible for the shipping cost to SVEDIA TOOLS.

    3:1K Upon return, the invoiced amount is credited with a return deduction of 20%, but not less than SEK 150. Upon exchange, the value of the exchanged item is credited with a deduction of 20%, but not less than SEK 150. The deduction is made on the sum of all items returned.

    3:2 Complaints – errors in delivery or defects in the product

    The following applies in the event of a complaint due to an error in the delivery:

    3:2A Complaints must be made in writing to the customer's normal contact at SVEDIA TOOLS within 8 days, describing the error and must be supported by an order number. Otherwise, the applicable general delivery regulations apply (see below under other).

    The following applies when making a complaint due to a defect in the product:

    3:2B If there is a defect in the product and SVEDIA TOOLS is responsible for it, the customer has the right to have the product repaired, exchanged for a corresponding replacement product, receive compensation for rectifying the defect themselves or have the price credited.

    3:2C Complaints must be made in writing to the customer's normal contact at SVEDIA TOOLS.
    3:2D When making a complaint, the customer must provide information describing the defect and provide the delivery note or invoice number. We may also request that the customer return the goods to us for examination. If we approve the complaint, the customer will be reimbursed for reasonable shipping costs.

    3:2E If SVEDIA TOOLS approves the complaint, we will notify the customer whether they will have the item repaired, receive a replacement item or receive compensation for the faulty item.

    3:2F otherwise the applicable general delivery terms and conditions apply (see below under other).

    4. OTHER
    4:1 If SVEDIA TOOLS, at the customer's request, orders items that we do not normally have in our range, the customer is obliged to purchase existing stock of such items at SVEDIA TOOLS' request. Ordered customer-specific products can be adjusted in quantity +/- 10% at the time of manufacture/delivery.

    4:2 SVEDIA TOOLS has the right to terminate the customer's account and or cease to deliver according to the agreement if the customer has suspended payments, paid invoices late or not at all or if there is otherwise reasonable reason to assume that the customer is insolvent. Monitoring procedures/controls from third parties may occur.

    4:3 Exceptions to these terms of sale must be made in writing and signed by both parties to be valid.

    4:4 In all parts not regulated in these terms of sale, the technology companies' General Delivery Terms NL 17 apply to product sales and NU 06 to service sales.

    5. LIMITATION OF LIABILITY
    5:1 SVEDIA TOOLS is not liable for damage caused by the product to persons or real or movable property, or the consequences of such damage. SVEDIA TOOLS is also not liable for indirect losses that may affect the customer. The limitation of liability includes, but is not limited to, loss of production, loss of profit or other consequential financial loss.

    6. PRESS ERROR
    6:1 SVEDIA TOOLS is not responsible for deviating content regarding prices, product information or the like stated on www.svedia-tools.com, in product catalogs or in other documents if the letter is attributable to printing errors.
    The price stated in the issued order confirmation applies to the execution of trade.

    7. FORCE MAJEURE
    7:1 SVEDIA TOOLS shall be exempt from penalties for failure to fulfill a certain obligation under the parties' agreement if the failure is based on circumstances beyond SVEDIA TOOLS' control. Extenuating circumstances shall include war, acts of war, official action or omission, new or amended legislation, labor market conflict and equivalent circumstances.

    8 CONFIDENTIALITY
    8:1 Agreements signed between the parties regarding price, deliveries, execution, drawings, technical description, performance and overall economy are confidential towards third parties. Disclosure of such information may be subject to legal review and thereby grounds for financial compensation.
